國際貿(mào)易英文合同書的構成

國際貿(mào)易中使用的英文合同通常都是由一下幾部分內(nèi)容構成的：
1 標題
2 前言(Non-operative Part)：包括導入部分和說明條款(recitals=whereas clause + consideration)，其中導入部分由日期(date)、簽訂地(place)和當事人(parties)三部分組成。
3 正文部分(Operative Part)：
——應履行的展物的具體條款內(nèi)容（包括合同通行的條款和單獨的具體條款)
——履行債務過程中出現(xiàn)問題時的處理條款
——合同出現(xiàn)變更情況時的處理條款
——爭議的解決條款.`
4 結尾部分：一般由結束語、簽名和蓋章三部分組成
5 附注/附表 (Schedules, Exhibits, Appendices or Annexes.cnexp

英文合同-前言的導入部分的構成

參照前面提供的“英文合同書文本示例”，英文合同前言的導入部分一般由三部分組成:
1. 合同簽訂日期
2. 合同簽訂地點
3. 合同當事人

國際貿(mào)易英文合同的標題

和中文合同書一樣，英文合同也需書寫標題。而擬定標題是為了使合同內(nèi)容一目了然，合同標題本身沒有特別的法律效力，且對合同內(nèi)容也沒有影響。報關員考試
標題的書寫多根據(jù)合同或協(xié)議的類型而定，如：
采購合同 Purchase contract
許可合同 License contract
銷售合同 Sale contract
代理合同 Agency contract
許可協(xié)議 License Agreement
合資協(xié)議 Joint Venture Agreement
如果合同書有封皮的話，封皮上的合同標題應與合同主文中的標題一致。
